Unless the context clearly indicates otherwise, the following words and terms shall have the following meaning: "Pixel4Winner Website" - means http(s)://www.pixel4winner.com. "Pixel4Winner" - means a trademark of World Pixel Entertainment, Ltd. "We, Us or Our" - means World Pixel Entertainment, Ltd. "Parties" - means World Pixel Entertainment, Ltd and electronic Pixel4Winner raffle ticket purchaser. "Ticket Purchaser" - means an electronic Pixel4Winner raffle ticket purchaser. "Ticket" - means an eligible electronic Pixel4Winner raffle ticket. "Drawing" - means a computerized random drawing of all eligible electronic Pixel4Winner raffle tickets. "Winner" - means a legitimate winning electronic Pixel4Winner raffle ticket purchaser. "Grand Prize" - means money won by an eligible winning electronic Pixel4Winner raffle ticket purchaser. 1.2. Reference to one gender includes all other genders. 1.3. Reference to the singular shall include the plural and vice versa. 1.4. Reference to a person shall include natural persons and corporate persons, context permitting. 02. Legal Position 2.1. World Pixel Entertainment, Ltd owns and operates Pixel4Winner Website, and is authorised by the government of Costa Rica to conduct any online entertainment games. 2.2. Our server is located in the Netherlands and all Tickets are sold through the Internet from this local server. 2.3. Online Raffle participation may not be legal in some jurisdictions. We do not intend that anyone should use Pixel4Winner Website where such use is illegal. 2.4. Ticket Purchaser accepts sole responsibility for determining whether the use of Pixel4Winner Website is legal in the country where he lives. Also we encourage Ticket Purchaser to make himself familiar with any specific local rules on online Raffle participation. 03. Ineligibility 3.1. Entering in Drawing is open to anyone worldwide who is 18 years of age or older. People under the age of 18 years may not claim Grand Prize. Ticket Purchaser who wins Grand Prize will be required to show that he was over the age of 18 years at the time that he entered. 3.2. Employees, officers, directors, agents, contractors, and immediate family members of World Pixel Entertainment, Ltd and all associated companies and representatives, are ineligible to take part in any Raffle operated or promoted on Pixel4Winner Website. "Immediate family member" shall be defined as: a spouse or a child. In all of these cases, the "Immediate family member" definition shall apply whether a "biological," "step," or "adoptive" relationship exists. 3.3. We are unable to accept entries from residents of Costa Rica and the Netherlands for the time being. 04. Raffle Details 4.1. This is an Internet Raffle to be conducted solely via the Internet. 4.2. Only 35,000 Tickets will be sold. 4.3. Tickets are US$ 35 each. 4.4. One (1) Grand Prize will be awarded. 4.5. Grand Prize is a US$ 1,000,000 cash award. 4.6. Odds of winning Grand Prize is 1-in-35,000 (assumes all available Tickets are sold). 4.7. Ticket Purchaser may acquire as many Tickets as he likes, as long as there are some available. Tickets are available on a first come first serve basis and typically sell out two weeks prior to Drawing. 4.8. Tickets are sold on Pixel4Winner Website exclusively, via secure Moneybookers payment process. The individual who pays his Ticket via Moneybookers shall be referred to as Ticket Purchaser. 4.9. In order to purchase Tickets, Ticket Purchaser must first be logged in with his current valid "Username" and "Password". If he is a new Ticket Purchaser, he will be required to fill in a free one-time registration form. Personal information provided will not be sold, rented, or shared with anyone, except from Pixel4Winner team and third-party law firm and auditors. 4.10. Tickets are quick-picked (randomly generated). Ticket Purchasers cannot select their own Eight-Digit Ticket Identification Number. 4.11. Tickets shall not be cancelled once purchased. 4.12. Tickets and Grand Prize are nontransferable. 4.13. Only Tickets that have been paid for, and have been verified as paid for will be eligible for Drawing. Only one (1) individual may be identified as Ticket Purchaser. 4.14. Drawing will be held after all 35,000 Tickets are sold. 4.15. Drawing date and time will be announced on Pixel4Winner Website ("Live Draw" page), at least two (2) week prior to Drawing. 4.16. Drawing will be conducted "LIVE" on Pixel4Winner Website, operated by a system designed and implemented by World Pixel Entertainment, Ltd, whereby the winning Ticket is selected from the issued Tickets database. 4.17. Winner need not be present at Drawing. 4.18. Drawing will be supervised by a third-party law firm. 4.19. Drawing will be designated by a unique Four-Digit Identification Number. 4.20. All decisions relating to the conduct of Drawing will be made by Pixel4Winner, whose judgment on all matters will be final. 4.21. Grand Prize payment will be audited to ensure monies owed are paid out to Winner. 4.22. In the event that unforeseen circumstances prevent Drawing to be held, all Ticket Purchasers shall receive a 80% refund. 4.23. If all Tickets have not been sold by December 31st, 2009, Drawing will be held on January 15th, 2010. The exact time will be announced later on Pixel4Winner Website. A Grand Prize representing 80% of all monies collected will be awarded. At any time prior to the end of this period, Pixel4Winner in its sole discretion may extend the expiration date of the period and reschedule Drawing. 05. Issuance of Tickets 5.1. Ticket Purchaser having effectively paid his Ticket shall be issued with an "Electronic Pixel4Winner Raffle Ticket" in PDF format, recording: 1. First Name (stated in the Registration Form completed on Pixel4Winner Website) 2. Last Name (stated in the Registration Form completed on Pixel4Winner Website) 3. Country of Residence (stated in the Registration Form completed on Pixel4Winner Website) 4. Unique Eight-Digit Ticket Identification Number 5. Unique Four-Digit Drawing Identification Number 6. Date of Purchase 7. Price of Ticket 8. Grand Prize Awarded 5.2 Ticket Purchaser is responsible to check all details on Ticket at the time of purchase and the taking of such Ticket shall then constitute an accepted entry for Drawing identified thereon. 5.3. Ticket Purchaser shall modify his Ticket by sending an e-mail to Pixel4Winner, within 24 hours from the time of purchase. 5.4. In the event Ticket Purchaser does not claim any modification within this prescribed time period, Ticket shall be final. 5.5. Ticket may only be partly rectified by Pixel4Winner but never voided or cancelled. 06. Grand Prize & Publication of Result 6.1. We will publish Drawing Result as soon as practicable after Drawing. The information published may include: the Four-Digit Drawing Identification Number, the winning Eight-Digit Ticket Identification Number; the Grand Prize awarded, and the date Grand Prize claim period expires. 6.2. Winner will be informed via e-mail by the first working day after Drawing, using contact information provided on the "Registration Form". A certified mail with return receipt will follow the next working day. 6.3. Pixel4Winner will make reasonable endeavors to contact Winner via e-mail and certified mail return receipt, but Winner will be fully responsible for checking whether he has won. 6.4. Ticket effectively paid to World Pixel Entertainment, Ltd will be the only valid receipt and proof of eligibility for Grand Prize. 6.5. Winner will be required to provide proof that he is holder of a fully paid winning Ticket (referred to as the "Verifying Process"). We will verify the Moneybookers transaction ID# attached to the winning Ticket. 6.6. Winner will be asked to show evidence that he is eligible to take part and that he is authorized to use the credit card which paid for the winning Ticket. 07. Grand Prize Claim 7.1. If a winning Ticket is claimed by more than one (1) individual, Pixel4Winner will award Grand prize to the individual whose name is associated with that winning Ticket in Pixel4Winner Raffle Database. We are not responsible to resolve disputes or conflicts of Ticket ownership claims. 7.2. Grand Prize shall be exclusively claimed by e-mail, within 180 days after Drawing. A winning Ticket submitted beyond the 180-days period is not eligible for prize award. 7.3. After the "Verifying Process", Winner will be sent a "Winner Claim Form" which he must complete with his full name, age, telephone number, Moneybookers transaction ID#, current postal address and e-mail. Information provided on this "Winner Claim Form" must be legally valid in order to claim Grand Prize. 7.4. "Winner Claim Form" fully completed, dated, signed, and accompagnied by a photocopy of a valid identification card shall be returned to World Pixel Entertainment, Ltd, within 30 days. 7.5. Determination of Winner shall be exclusively made by World Pixel Entertainment, Ltd whose judgment shall be final. 7.6. We are not responsible for any conditions or circumstances that interfere with Winner's ability to claim his Grand Prize. 08. Grand Prize Unclaimed 8.1. Winner has 180 days from the date of Drawing to claim his Grand Prize. In the event Winner does not claim his Grand Prize within this prescribed time period, Grand Prize becomes "unclaimed." To avoid this situation, we urge Winner to check his Ticket on a regular basis. 8.2. If Grand Prize is unclaimed, if Winner is ineligible or if the check is uncashed after the 6-months period after the date the check has been issued, Winner forfeits all rights, and Pixel4Winner may select a new winning Ticket by Drawing. A new Drawing will be scheduled as soon as practicable, and will be announced on Pixel4Winner Website. An alternate winning Ticket may be selected in another Drawing from among the same eligible Tickets as previous Drawing (excluding the forfeiting Ticket Purchaser). 09. Grand Prize Payout 9.1. Grand Prize is subject to a 48-hour delay, from the date of the receipt of "Winner Claim Form" and attachment by Pixel4Winner. 9.2. After the "Validation Process" ("checking "Winner Claim Form" and attachment"), Grand prize will be paid out in full, without any deduction whatsoever. 9.3. Grand Prize will be paid in one (1) lump-sum, tax-free payment to Winner. 9.4. Grand prize will be paid by bank transfer or by check via express mail if Winner prefers this payment method. All bank charges will be covered by Pixel4Winner. Grand prize shall be paid in US$ only. 9.5. Winner is requested to cash his check as soon as possible and in any case no more than 6 months after the date the check has been issued. If the check has not been cashed at the end of this 6-month period, Winner will forfeit Grand Prize. 9.6. In the event of a request to re-issue a payment by check, we require 10 working days notice. This is to ensure there have been no delays with the postal service and to review with the banks the check's clearance status with us. Once this has been verified the pending check will be cancelled and a new check reissued. 9.7. Winner will never be required to submit any kind of claims fee or cash sum to receive Grand Prize. 9.8. However, Winner shall be responsible for payment of any tax that may be payable by him in accordance with any applicable laws and regulations. We shall not be held liable in this respect. 10. Winner’s Promotional Obligation 10.1. By accepting Grand Prize offered by Pixel4Winner, Winner agrees to the use of his full name, location by city or town, state, country, photography, and comments for the purpose of advertising without further compensation. We will not, however, release the e-mail, phone number and postal address of Winner. 11. General Rules 11.1. The decision to use Pixel4Winner Website is made at Ticket Purchaser's own discretion and risk. 11.2. In any case of dispute over the result of Drawing operated on Pixel4Winner Website and the winning of such Drawing, our decision will be final and binding. 11.3. By entering, Ticket Purchaser recognizes and agrees that registration information provided by him may be made available to Pixel4Winner; use of such information will be governed by our Privacy Policy. 11.4. Ticket Purchaser's responsibility is to ensure that correct information are given to Pixel4Winner to effect the purchase of Tickets. Pixel4Winner will accept no liability for any errors that may have occurred, in any circumstances. 11.5. Pixel4Winner will not be liable to any Ticket Purchaser in the event of force majeure, for the failure of, or damage or destruction to, Pixel4Winner's central computer system or records, or any part thereof, for delays, losses, errors or omissions resulting from failure of any telecommunications or other data transmission system, for any delay resulting in non-receipt of any entry for a particular Drawing. 12. Governing Law 12.1. These Official Rules will be interpreted and construed pursuant to the laws of Costa Rica. However, we are entitled to instigate proceedings against Ticket Purchaser in the local territory of such Ticket Purchaser or place of alleged infringement of these Official Rules. 12.2. These Official Rules constitute the entire Agreement and understanding between Parties. If there is a discrepancy between the English language version of these Official Rules and any other language version, the English language version shall be correct. Effective Date: January 1st, 2008
